The "Act to Amend Part of the Act on Prevention of Delay in Payment of Subcontracting Fees, etc. and the Act on Promotion of Small and Medium-Sized Enterprises in Subcontracting" was enacted on May 16, 2025, and promulgated on May 23 of the same year.
With this amendment, the name of the law, "Act on Prevention of Delays in Payment of Subcontracting Fees, etc.," will be changed to "Act on Prevention of Delays in Payment of Fees to Small and Medium-Sized Contractors in Manufacturing, etc." (abbreviated as: Act on Proper Transactions of Small and Medium-Sized Contractors, commonly known as: Subcontracting Act).
(Effective date: January 1, 2020)
MOBIO holds workshops aimed at improving the fairness of small and medium-sized enterprise (SME) contracting transactions. These workshops explain examples of violations of the Act on Fair Trade Practices for SMEs, such as delayed payments, unfair price reductions, excessive discount requests, and returns, as well as countermeasures.
We also conduct on-site training sessions for various companies.

Fair Trade Practices Training Session

This seminar aims to improve the fairness of small and medium-sized enterprise (SME) outsourcing transactions. It will feature lawyers and former members of the Japan Fair Trade Commission explaining examples of violations of the Act on Fair Outsourcing Transactions for SMEs and countermeasures.

Business Fairness Training Session

To address requests such as "I'm too busy to attend the training sessions" or "We want all our employees to acquire the necessary knowledge," we offer on-site training sessions at your workplace.

A specialist consultant, a former member of the Japan Fair Trade Commission, will visit your local area or workplace as a lecturer to provide an easy-to-understand explanation of the "Act on the Proper Operation of Small and Medium-Sized Enterprises in Commissioned Transactions," which is the foundation of fair trade practices for small and medium-sized enterprises.

[Target audience]Contracting companies located within Osaka Prefecture or contracting companies registered as ordering companies in the Osaka Industrial Bureau's business matching program (however, the scope of business trips is limited).

The Japan Fair Trade Commission (JFTC), with the aim of ensuring fair practices in small and medium-sized contract trading and preventing violations of the Act and abuse of dominant position, posts explanatory videos on the Act on Control and Prevention of Abuse of Dominant Position on its YouTube channel as part of its public awareness and education activities regarding the Act on Control and Prevention of Abuse of Dominant Position.

Compliance requirements as stipulated in the Act on the Procurement of Substitutes

1. Obligations of the Contractor

(1) Obligation to clearly specify the order details (issuance of purchase order)
(2) Obligation to prepare and retain documents related to transactions (2 years)
(3) Obligation to set a payment due date (within 60 days of receipt)
(4) Obligation to pay late payment interest (14.6%)

2. Prohibited actions by contracted service providers

(1) Prohibition of refusal to accept
(2) Prevention of delays in payment
(3) Prohibition of price reduction
(4) Prohibition of returns
(5) Prohibition of price gouging
(6) Prohibition of compulsory purchase of goods or compulsory use of services
(7) Prohibition of retaliatory measures
(8) Prohibition of early settlement of payment for raw materials, etc. supplied for a fee
(9) Prohibition of soliciting unjust economic benefits
(10) Prohibition of unfair changes or repayment of benefits
(11) Prohibition of unilateral price determination without negotiation
